In some cases, a business may gain significant advantages by incorporating the business. You may gain more ways to protect yourself and your assets from loss, and often provide more protection for your personal assets.  Asset protection and business flexibility can provide great help for both the shareholders and the corporation itself. We can discuss all forms of business entities, and determine the best choice for you.  Incorporation can be done quickly and the costs generally justify the expense.  We should carefully review your business objectives and then decide upon the best business entity for your goals.

Limited Liability Companies

Attorney Herbert Allen provides attorney legal services for limited liability companies. Limited liability companies have specific advantages and limitations. The Olmstead Case provided new guidance for the operation of Florida limited liability companies. Essentially, it held that a single-member limited liability company may be subject to the claims of creditors. Later, the Florida legislature passed in 2014 the FLORIDA REVISED LIMITED LIABILITY COMPANY ACT, Chapter 605, Florida Statutes, which controls many aspects of the limited liability company. Many aspects of the law of limited liability companies changed. If your LLC was organized before 2014, I suggest you seek legal advice regarding this update to the law. The Limited Liability Company Act If you need help organizing a limited liability company (LLC), or have questions about operating a limited liability company, then I urge you to give me a call at 321.237.2869 . Sole Proprietorships

Florida law allows you to do business without incorporating your business or forming a limited liability company.     If someone sues the business, then all of your personal assets may be subject to the claims of creditors.  Business planning before you start doing business may allow you greater flexibility in your business, and more security when it comes to your own personal assets.
