Attorney in Christ
Let me explain the white Attorney in Christ seal. By faith alone I received eternal life as a free gift from Jesus Christ. I strive to glorify Him in all that I do, including my law practice. In my life, I fall short of that goal at times, but I press on. God does not discriminate against people because of their race, faith, age, gender or any other factor. He loves everyone and offers the free gift of salvation through His Son, Jesus Christ, God in the flesh. I enjoy praying with clients of like faith, and seeking God’s help in all that we do. Because God does not discriminate in His love, I do not discriminate in my legal practice. I answer my own telephone at 321.237.2869 and welcome your call. Non-Compete Agreements │ 321.779.1211 │ +Personal Legal Care+
Non-compete agreements prevent people, often employees, from taking advantage of their access to your proprietary and confidential business information. Carefully drafted non-compete agreements may be enforceable, provided they take care with time limits and geographical scope. If you have questions about enforcing or breaking a non-compete agreement, then please call me at 321.779.1211. Herbert L. Allen, Jr., P.A. │ Business Attorney │ New Business
Buy-Sell Business Agreements │ Herbert L. Allen, Jr., P.A.
Herbert L. Allen, Jr., P.A. dedicates this website to Florida New Business Law. Herbert L. Allen, Jr., P.A. has experience with the sale of businesses, representing buyers and sellers. I meet many people who thought they knew enough to purchase a business, because they once worked doing contracts for the government or a large corporation. Sadly, they did not understand even the basics of evaluating a business for sale. I can help you understand the basics of buying or selling a business. We strive to make the process easy and fast. I answer my own telephone at 321.237.2869 and welcome your call. Immediate appointments available.
If you are buying a business, you often start with a purchase contract. You will typically put some money into escrow, have a period to perform your due diligence requirements, learn all you can about the business, and then move towards closing on the property. Long before your sign any contract, you would want to conduct a basic background check into the business you may have an interest in buying. I can help you understand what you are looking for in buying a business. Herbert L. Allen, Jr., P.A. │ Business Attorney │ New Business
New Business Entity
Before you sign the purchase contract for a new business, you want to be sure that you have formed the correct business entity to make the purchase. I rarely recommend that an individual purchase a business. Often, a corporation will need to purchase the business, and in many cases, it needs to be a new corporation formed for the sole purpose of running the new business. In some cases, a business may gain significant advantages by incorporating the business. You may gain more ways to protect yourself and your assets from loss, and often provide more protection for your personal assets. Asset protection and business flexibility can provide great help for both the shareholders and the corporation itself. We can discuss all forms of business entities, and determine the best choice for you. Incorporation can be done quickly and the costs generally justify the expense. We should carefully review your business objectives and then decide upon the best business entity for your goals. Herbert L. Allen, Jr., P.A. │ Business Attorney │ New Business
